Health2Talent Stability Engine — Terms of Service

IMPORTANT: This document contains critical limitations on our liability and extensive obligations for you, the user. By using the Service, you are agreeing to these terms in full. Please read it carefully.

1. Acceptance of Terms

By accessing, registering for, or using the Health2Talent Stability Engine (the “Service”), you, on behalf of yourself and any entity you represent (“You” or “User”), agree to be legally bound by these Terms of Service (“Terms”) and our Privacy Policy, which is incorporated herein by reference.

If You do not agree to these Terms, You must not access or use the Service. If You are using the Service on behalf of a company or other legal entity, You represent that You have the authority to bind that entity to these Terms.

2. Description of the Service & Mandatory Disclaimers

2.1. The Service is an Analytical Tool.

The Service is a software tool that uses proprietary algorithms and analytical models to process resume text and job descriptions. It generates data-driven insights, scores, and narratives ("Output") intended to supplement a comprehensive, human-led talent evaluation process. The criteria and scoring methodologies, such as those related to performance predictability, cognitive flexibility, and leadership, are proprietary and constitute Health2Talent's Intellectual Property.

2.2. The Service IS NOT a Decision-Making Tool.

The Output is provided for informational purposes only. It is not a recommendation to hire, reject, or take any other employment action. The name "Stability Engine" is a brand identifier and does not imply, promise, or guarantee any specific outcome regarding employee retention, performance, or suitability.

2.3. The Service IS NOT a Consumer Reporting Agency.

Health2Talent is not a Consumer Reporting Agency as defined by the Fair Credit Reporting Act ("FCRA"). The Service and its Output do not constitute "Consumer Reports." The Service is not intended to be used for purposes of determining a consumer's eligibility for employment, credit, or insurance, or for any other purpose regulated by the FCRA.

2.4. User's Sole Responsibility for Compliance.

By using the Service, You expressly acknowledge and agree that You are solely responsible for:

  • Ensuring your hiring and employment practices comply with all applicable laws, including but not limited to the FCRA, Title VII of the Civil Rights Act, the Age Discrimination in Employment Act (ADEA), the Americans with Disabilities Act (ADA), and all guidelines enforced by the U.S. Equal Employment Opportunity Commission (“EEOC”) and any other federal, state, or local regulations.
  • Independently validating that any criteria or Output from the Service are job-related for the position in question and consistent with business necessity before using them in any part of your hiring process.
  • Using the Output as only one component of a broader, multi-faceted, and legally compliant hiring process that relies on independent human judgment.
  • Never using the Output as the sole or primary basis for making any employment-related decision, including but not limited to hiring, promotion, termination, or compensation.

3. Permitted and Prohibited Uses

3.1. Permitted Use.

You may use the Service to generate analytical Output to inform your internal talent assessment and development strategies, consistent with these Terms.

3.2. Prohibited Uses.

You shall not, under any circumstances:

  • Use the Service or its Output to determine eligibility for employment, credit, or for any other purpose governed by the FCRA.
  • Use the Service in any manner that results in disparate treatment or disparate impact on the basis of race, color, religion, sex, sexual orientation, gender identity, national origin, age, disability, genetic information, or any other characteristic protected by law.
  • Use the Output as a "pass/fail" screening test or as a dispositive factor in any employment decision.
  • Reproduce, modify, reverse engineer, decompile, or create derivative works from the Service, its algorithms, or its proprietary scoring models.
  • Submit any personal data to the Service for which You have not obtained all necessary lawful consents and authorizations from the data subject.

4. User Accounts

To access certain features, you must register an account and provide accurate information. You are responsible for safeguarding your login credentials and for all activities under your account. You must immediately notify Health2Talent of any unauthorized use or breach of security.

5. Intellectual Property

The Service, its underlying software, source code, algorithms, analytical models, scoring methodologies, and all content and visual interfaces are the exclusive intellectual property of Health2Talent and its licensors, protected by copyright, trademark, and other laws. You retain ownership of the resume data You submit ("User Data"). You grant Health2Talent a worldwide, non-exclusive, royalty-free license to use, process, and anonymize User Data solely for the purposes of providing, maintaining, and improving the Service.

6. EEOC & Anti-Discrimination Compliance

You acknowledge that employment decisions must be free of discrimination based on race, color, religion, sex, national origin, age, disability, genetic information, or any other protected characteristic under applicable law. You agree that you will not use the Service in a way that violates the U.S. Equal Employment Opportunity Commission (“EEOC”) guidelines or similar anti-discrimination laws.

7. WARRANTY DISCLAIMER

THE SERVICE AND ITS OUTPUT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. HEALTH2TALENT AND ITS AFFILIATES AND LICENSORS EXPLICITLY DISCLAIM ALL WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, COMPLETENESS, NON-INFRINGEMENT, AND LEGAL COMPLIANCE.

WE DO NOT WARRANT THAT THE OUTPUT WILL BE ACCURATE, RELIABLE, OR ERROR-FREE, OR THAT IT WILL MEET YOUR REQUIREMENTS OR PREDICT ANY PARTICULAR OUTCOME. YOUR RELIANCE ON THE SERVICE OR ITS OUTPUT IS ENTIRELY AT YOUR OWN RISK.

8. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL HEALTH2TALENT, ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SERVICE; (B) ANY EMPLOYMENT DECISION OR PRACTICE YOU MAKE, WHETHER OR NOT INFORMED BY THE SERVICE'S OUTPUT; (C) ANY ACTION OR CLAIM ALLEGING THAT YOUR USE OF THE SERVICE VIOLATES ANY EMPLOYMENT, PRIVACY, OR ANTI-DISCRIMINATION LAW.

IN NO EVENT SHALL HEALTH2TALENT’S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF FEES, IF ANY, PAID BY YOU TO HEALTH2TALENT FOR THE SERVICE IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENTS GIVING RISE TO THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Health2Talent, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to attorney’s fees) arising from: (a) Your use of and access to the Service; (b) Your violation of any term of these Terms; (c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that Your use of the Service in your employment practices caused damage to a third party, including claims of unlawful discrimination or violations of employment law.

10. General Terms

Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms and updating the "Effective Date." Your continued use of the Service after such changes constitutes your acceptance of the new Terms.

Governing Law: These Terms shall be governed by the laws of the State of Delaware, without regard to its conflict of law provisions.
